The Twitter Acquisition

Twitter announced a definitive merger agreement on April 25, 2022 at $54.20 per share in cash, a 38% premium to the last close before Musk disclosed his roughly 9% stake. In the announcement Musk gave his reasons in his own words: “Free speech is the bedrock of a functioning democracy, and Twitter is the digital town square where matters vital to the future of humanity are debated.” He listed four intentions — new features, “making the algorithms open source to increase trust, defeating the spam bots, and authenticating all humans.”

The deal was disputed for months before closing on October 27, 2022, after which Twitter became a wholly owned subsidiary of a parent that its final filing describes as “majority-owned and controlled by Mr. Musk.” Because the company was taken private, most subsequent operational facts about it — headcount, user numbers, revenue — are no longer subject to SEC reporting and no company-published figures exist.

Of the four commitments, the algorithm one is partly documented: in March 2023 the company published portions of its recommendation system in a public repository under its own GitHub organisation. Political Spending

Federal Election Commission records document Musk’s direct political spending. AMERICA PAC, an independent-expenditure-only committee, registered with the Commission on May 22, 2024. Its itemized receipts for the 2023-2024 transaction period record twenty-six contributions from Musk totalling 249,754,986.48,including249,754,986.48, including 30 million on September 5, 2024, 25millioneachonOctober25andOctober31,2024,and25 million each on October 25 and October 31, 2024, and 40,495,178 on November 25, 2024 — the largest single sum. He continued to fund the committee afterwards, including $27,072,484 on June 30, 2025.

Platform Owner and Political Participant

He owns the venue, posts on it under his own name, and separately funds a federal independent-expenditure committee at the scale the Commission’s records document above. Claims about how those roles interacted — whether platform decisions favoured particular candidates — are contested and are not asserted here.
